End User License Agreement (EULA)

1. Agreement Overview

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "You") and MarkFlow ("Developer," "We," "Us," or "Our") for the use of MarkFlow desktop application ("Software" or "Application").

By downloading, installing, or using MarkFlow, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA. If you do not agree to these terms, please do not install or use the Software.

2. License Grant

Subject to the terms of this EULA, we grant you a limited, non-exclusive, non-transferable license to:

• Install and use MarkFlow on your personal devices
• Use the Software for personal productivity and document management
• Access all features included in your licensed version
• Receive updates and support as provided in your subscription plan

This license is granted solely for your personal use and in accordance with the terms of this EULA.

3. License Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the Software
• Modify, adapt, or create derivative works of the Software
• Redistribute, sell, rent, lease, or sublicense the Software
• Remove or alter any proprietary notices or labels on the Software
• Use the Software for commercial purposes without explicit permission
• Share your license credentials with unauthorized users
• Bypass or circumvent any security features or licensing mechanisms

4. Subscription and Payment Terms

MarkFlow may offer subscription-based licensing with the following terms:

• Subscription fees are payable in advance
• Subscriptions automatically renew unless cancelled
• You may cancel your subscription at any time
• Refunds are subject to our refund policy
• Price changes will be communicated with 30 days' notice

5. Intellectual Property

The Software and all intellectual property rights therein are and will remain the exclusive property of MarkFlow. This EULA does not transfer any ownership rights to you.

You retain all rights to your content and files that you process through the Software. By using MarkFlow, you grant us a limited license to process your content solely for the purpose of providing the synchronization service.

6. User Responsibilities

You are responsible for:

• Ensuring lawful use of the Software
• Maintaining the security of your account and license
• Complying with third-party service terms (such as Notion's terms)
• Backing up your important data
• Using the Software in accordance with this EULA

7. Disclaimers and Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be error-free, uninterrupted, or meet your specific requirements. Your use of the Software is at your sole risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE.

Our total liability to you for all claims arising out of or relating to this EULA shall not exceed the amount you paid for the Software license.

9. Termination

This EULA is effective until terminated. You may terminate this EULA at any time by uninstalling the Software and destroying all copies.

We may terminate this EULA immediately if you breach any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

10. Updates and Modifications

We may update this EULA from time to time. We will notify you of any material changes by posting the updated EULA on our website and updating the "Last updated" date above.

Continued use of the Software after any such changes constitutes your acceptance of the new EULA.

11. Governing Law

This EULA is governed by the laws of the United States. Any disputes arising from this EULA or your use of the Software will be resolved in the appropriate courts.
